Not waterproof. Maybe the nylon coated pieces are, but there are gaping holes where the sides and top do not meet. Zero padding, and doesn't hold nearly as much as you'd think. Certainly not applicable as a briefcase for any items you actually care about or otherwise want to protect. This thing would last exactly 15 minutes of real use. The camo is a red-herring, don't be fooled. The quality is similar to what you'd find executives handing out at trade shows, minus whatever obnoxious logo.
